Warrant
In order to allow Adept Engraving LLC to perform services for you, you warrant you are the exclusive owner of the uploaded wording, marks or copyright in the designs, pictures, or photographs ('Works') and that Adept Engraving LLC’s manufacture of the products incorporating the Works ('Product'), the use of the Product, and the Product itself will not infringe, due to use of the Works submitted by you for inclusion on the Product. You represent that you have information to support this warrant and that you make this warrant in good faith.
Indemnification
You agree to and hereby do indemnify Adept Engraving LLC against any infringement as a result of Adept Engraving LLC’s manufacture of the Product, the use of the Product, and the Product itself due to use of the Works submitted by you for inclusion on the Product. Without limiting the foregoing, you hereby agree and represent that you will protect, defend, indemnify and hold harmless Adept Engraving LLC and its affiliates, and each of their officers, directors, shareholders, agents, successor, assigns and suppliers, for and against all actions, suits, claims, proceedings, and court awarded damages, liabilities, losses, costs, punitive damages, fines, penalties and expenses, including attorneys' fees, of any kind or character, arising out of or in connection with claims that may be asserted by any third party as a result Adept Engraving LLC’s manufacture of the Product, the use of the Product, and the Product itself due to use of the Works submitted by you for inclusion on the Product. This indemnity shall include, without limitation, any court awarded damage, liability, loss, cost, punitive damage, fine, penalty, expense, Adept Engraving LLC’s attorney fees, or court awarded consequential damage to Adept Engraving LLC or the third party arising from or out of any action, suit, claim or proceeding for infringement.
UCC
You acknowledge that the Product is made to customer specifications and agree to Adept Engraving LLC’s disclaimer of any warranty that the goods shall be delivered free of the rightful claim of any third person by way of infringement or the like due to compliance with the specifications.
The photo must not contain material that is inappropriate, indecent, obscene, illegal, defamatory, slanderous or libelous.
